Terms of Service

These Terms of Service (“Terms”) govern access to and use of FalStudio websites, applications, and related services (the “Service”) operated by Auxora Limited (company number 16253784), trading as FalStudio, registered in England and Wales (“FalStudio,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy. Contact: support@falstudio.ai; sales and general inquiries: hello@falstudio.ai.

You must be at least 18 years of age (or the age of legal majority where you live, if higher) to use the Service. You may not use the Service if you are prohibited under applicable sanctions or trade laws.

FalStudio is available worldwide, including the United Kingdom, the United States, Canada, and other countries, subject to these Terms, applicable law, and sanctions restrictions.

You are responsible for the accuracy of account information, keeping credentials confidential, and all activity under your account. Notify us promptly of suspected unauthorized access. We may refuse registration, require verification, or limit accounts to reduce abuse.

FalStudio is an AI filmmaking workspace that helps you organise productions, characters, references, prompts, and generation attempts, and to purchase prepaid credits used for generation requests.

FalStudio uses third-party artificial intelligence and infrastructure providers to process generation requests. Providers and models (including offerings such as MiniMax H3 Max accessed via fal.ai) may change. FalStudio does not claim to own those providers or models and is not fal.ai.

Outputs from AI features may be unpredictable, incomplete, inaccurate, non-unique, or similar to outputs produced for other users. Generation may fail or be delayed due to capacity, provider outages, safety filters, or invalid inputs.

We do not warrant that any output is original, copyrightable, free of third-party rights, fit for a particular purpose, or suitable for commercial use without your own review. You use outputs at your own risk and are responsible for how you use them.

Subject to these Terms and any third-party rights, FalStudio grants you a non-exclusive licence to use outputs you generate through the Service for your own lawful purposes, including commercial use. FalStudio does not claim ownership of your User Content and does not warrant that outputs are copyrightable or free of third-party rights.

Third-party hosted media (including fal.ai). Many generation outputs are hosted by third-party AI and infrastructure providers (currently including fal.ai) on their content delivery networks or storage systems, and are returned to you as temporary URLs (for example, fal CDN links). Those files are processed and retained under the provider’s systems, policies, and configuration, not as permanent FalStudio-owned storage. Provider documentation may describe typical retention (for example, that CDN media is often available for a limited period by default); that documentation is not a FalStudio warranty, SLA, or guarantee that any particular file will remain available for any specific time.

Provider-hosted URLs may become unavailable, expire, be deleted, or otherwise stop working at any time, including earlier or later than any estimate, countdown, or planning reminder shown in the Service. In-product timers or badges related to CDN retention are informational planning aids only and do not create a contractual promise of availability. You are solely responsible for downloading and storing any generated media that matters to you on your own devices or storage. FalStudio does not guarantee permanent storage, backup, recovery, or indefinite URL availability of provider-hosted outputs.

FalStudio-stored media. When you save a take (or upload library assets) into FalStudio storage, we host that copy for your production under our retention practices: active paid subscriptions retain productions while subscribed; inactive pay-as-you-go or non-subscribed accounts may have productions and associated FalStudio media deleted after inactivity and notice (typically around 90 days). This is not a backup service and does not replace your own downloads.

To the maximum extent permitted by law, FalStudio is not liable for loss of access to, deletion of, corruption of, or inability to retrieve generated media held by fal.ai or other providers, including where that loss results from provider retention policies, CDN expiry, account or configuration changes, outages, or your failure to download outputs in time. Credits charged for a successful generation are not refundable solely because a later provider URL becomes unavailable.

Generation is billed in FalStudio Credits. Standard credit price is $0.10 USD (Pay as you go / list). Subscribers receive monthly included Credits and discounted add-on pricing per their plan. Credits are prepaid for Pay as you go and add-on purchases. Generation prices vary by model, settings, references, and related parameters. The estimated charge is shown before you confirm a generation.

Catalogue and in-app prices are shown in USD exclusive of tax. Applicable VAT, sales tax, or similar charges may be calculated and added at checkout where required by law and configured with our payment processor (Stripe). We may enable or update tax collection as our obligations change.

Payments for credit packs and subscriptions are processed by Stripe. FalStudio does not store complete payment-card numbers. Credit purchases and refund treatment are further described in the Credit & Refund Policy, which forms part of these Terms. Plan changes for existing subscribers are handled in place on the Stripe subscription (with proration as applied by Stripe), rather than opening a second overlapping subscription.

Purchased Credits do not expire while your account remains open. Unused subscription Credits remain available until the end of the current paid billing period if you cancel; they then lapse. Unused Credits are not paid out as cash except as described in the Credit & Refund Policy.

If a generation fails and FalStudio determines that upstream compute was not billable, reserved credits should return to your balance. Used Credits are not refundable. Where a refund of unused purchased Credits is issued, a 5% service fee applies. See the Credit & Refund Policy.

Digital content / cooling-off. Credits, subscriptions, and generation are digital services/content. By purchasing Credits or a subscription and using the Service (including generating media), you request that we begin performance immediately. Where UK or EU consumer law would otherwise provide a cooling-off / withdrawal right for digital content, you acknowledge that right may be lost once performance of the digital content begins with your prior express consent and acknowledgment, to the extent permitted by law. Mandatory rights that cannot be excluded remain unaffected.

You may submit prompts, images, video, audio, voice references, character art, and other materials (“User Content”). You retain whatever rights you already have in User Content. You grant FalStudio a worldwide, non-exclusive licence to host, process, transmit, and display User Content solely as needed to operate and improve the Service (including sending it to AI/infrastructure providers that process generation requests).

You represent that you have all rights, permissions, licences, and lawful bases needed to upload and use User Content, including rights in photographs, character artwork, copyrighted works, videos, music/audio, voices, likenesses, trademarks, and other references. FalStudio does not grant you rights you do not otherwise possess.

You are responsible for generated outputs you create or use, including ensuring your use complies with law and does not infringe others’ rights.

You must comply with our Acceptable Use Policy. We may reject generations, remove content where appropriate, suspend or terminate accounts, investigate abuse, and take steps needed to comply with law and upstream provider requirements.

We aim to keep the Service available but do not guarantee uptime, uninterrupted access, or uninterrupted provider capacity. Features, models, pricing, and integrations may change.

We may suspend or terminate access for breach of these Terms, the Acceptable Use Policy, fraud, abuse (including affiliate abuse), non-payment, legal risk, or upstream provider requirements. You may stop using the Service at any time. Account deletion is described in the Privacy Policy and in-product controls when available.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT UNINTERRUPTED AVAILABILITY OF THIRD-PARTY HOSTED GENERATION OUTPUTS (INCLUDING FAL.AI CDN URLS) OR THAT ANY PARTICULAR OUTPUT WILL REMAIN RETRIEVABLE FOR ANY PERIOD.

To the maximum extent permitted by law, FalStudio and its operators will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities, arising from the Service or these Terms.

FalStudio’s total liability for claims arising out of the Service or these Terms is limited to the greater of (a) the amounts you paid to FalStudio for the Service in the 12 months before the claim, or (b) USD $100. Nothing in these Terms excludes or limits liability that cannot legally be limited, including for death or personal injury caused by negligence, or for fraud.

To the extent permitted by law, you will defend and indemnify FalStudio against claims arising from your User Content, your use of outputs, your breach of these Terms, or your violation of law or third-party rights.

If you participate in the affiliate program, the Affiliate Program Terms also apply. Commission is earned for a defined 12-month period from a referred customer’s first eligible paid purchase, not for a lifetime.

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Mandatory consumer protections in your country of residence still apply where they cannot be excluded.

Subject to those consumer rights, the courts of England and Wales have exclusive jurisdiction over disputes arising out of these Terms or the Service.

We may update these Terms. Material changes may require renewed acceptance before continued use. The version and effective date appear at the top of this page. We store the Terms version you accepted with your account.
